Key Responsibilities

  • Assist in the corporate exercises such as right issue, private placement, bond issuance, debt financing and various capital and leveraging management
  • Liaise with corporate advisors from investment banks, solicitors, placement agents, equity capital advisory, brokerage advisory and various regulatory bodies
  • Review, prepare, analyzes various reports and submission documents such as prospectus, submission documents and relevant term sheets and loan documents
  • Perform various analysis such as industry, competitor, market and client researches
  • Assist in the investment assessment process through preparation of financial model, analysis of the investment details and preparation of board papers
  • Assist in the appointment of advisors by making the relevant comparison and recommendation
  • Assist in various forms of corporate structure proposal, debt and capital restructuring plans and etc. The specific tasks would include conducting/facilitate the Know Your Customer (KYC ) process, assist in reviewing of term sheets, conducting due diligence on companies or contracts, liaise with external advisors/ internal departments on various such matters such as tax, finance, accounting and operations
  • Drafting of various letters to external parties
  • Undertake any other ad hoc assignments 

 

Specific Qualifications Required

  • Possess a recognized Degree/Advanced Diploma in Accounting or Finance / part professional accounting qualification ACCA/CIMA/CPA equivalent
  • At least 3years working experience in corporate finance (in banks)/ audit / finance
  • Good command of written and spoken English and Bahasa Malaysia. Ability to converse in mandarin will be an added advantage

Key Responsibilities

  • Managing the process for the annual Corporate Sustainability Statement reporting.
  • Custodian of Sustainable Policy and Procedures and ensure that the sustainability practices are embedded within the Yinson Group.    
  • Development and implementation of sustainability strategies and annual sustainability action plan.
  • Analysing the current sustainability practices and identifying points where the practices could be improved from economic, environmental and social (ESS) perspectives through a comprehensive materiality assessment.
  • Identifying key performance indicators (KPIs) to establish the monitoring and achievement of key sustainability targets.
  • Development and delivery of employees’ sustainability training to inform, educate and create awareness on sustainability issues/practices.
  • Involvement in the Corporate Social Responsibility Committee (CSR) Committee and assist in the management of CSR activities.

Specific Qualifications Required

  • Candidates must possess at least a bachelor’s or Professional Degree in Business Administration/Commerce/ Economics/Finance.
  • Minimum of 3 years of related working experience in large public listed companies focusing on coordination of sustainability strategies and reporting.
  • Knowledge of the GRI Standards would be advantageous.

Key Responsibilities

This position requires you to be involved in corporate secretarial services to the board of directors, shareholders and senior management. This role requires you to provide secretarial support for corporate exercise including ensuring accuracy of the information in the documents and compliance with the statutory requirements. As a company secretary, you are required to liaise with external regulator, advisor, legal counsel as well as auditor. Your responsibilities include the followings:

  • Assist and support in pre and post requirements for Board and Board Committees Meetings.
  • Compile board and board committee papers, minutes, resolutions and statutory documents and ensure that the decisions of the Board of Directors are implemented accordingly.
  • Ensure completion/lodgment of statutory forms, returns and reports and the Company's compliance obligations under the relevant laws/regulations.
  • Ensure best principles of corporate governance and compliance with statutory/regulatory requirements.

 

Specific Qualifications Required

  • ICSA qualification with 8-10 years working experience in company secretarial functions.
  • Well verse in Companies Act 1965 and other related laws and regulations.
  • Good command of written and spoken English and Bahasa Malaysia.
  • Good interpersonal skills and capable to communicate with all levels.

Key Reponsibilities

  • Manage specific Anti-Bribery and Anti-Corruption (ABAC) program-related project activities such as ISO37001 development and implemention.
  • Develop internal controls and policies designed to ensure that all compliance needs are met.
  • Evaluate business activities and third parties’ due diligence such as vendors and business partners to assess compliance risk from ABAC perspective.
  • Provide training and education on the compliance framework, corporate policies and Limits of Authority.
  • Coordinate and assist in the risk assessment, review and action planning processes for the business units with the focus on identification of the key risk exposures and mitigating action plans.
  • Review and monitor the risk action plans on a regular basis through communication with the various risk coordinators/risk owners.

Specific Qualifications Required

  • Candidates must possess at least a bachelor’s or Professional Degree in Business Administration/ Commerce/ Economics/Finance or equivalent.
  • Minimum of 5 years of related working experience in enterprise risk management.
  • Experience in compliance would be advantageous.

Key Responsibilities

  • Conduct and lead due diligence process on transactions including but not limited to merger and acquisitions, issuance bond (144A, Reg S and RM bonds/Sukuk)
  • Review and negotiate various debt financing instruments (from term sheet stage to finalizing the transaction) covering corporate loan, project finance loan, bonds, mezzanine loan and any other type of financing. This includes seeing through the completion of conditions precedents as well as maintenance of the financing
  • To assist in the legal aspect of equity exercises such as bonus issue, rights issues and etc.
  • Draft, review and negotiate charter contracts, joint venture agreement, shareholders agreement, memorandum of agreements and etc.
  • Structuring of project structure to comply with various legislations. Experience with cross borders transactions will be an advantage
  • To work with various departments such as company secretary, finance, tax, project teams to ensure that the legal aspect of a transactions is in line with the general objectives of th firm
  • Draft, review and finalized corporate announcements, circular which is to be in compliance with the Bursa requirements
  • Draft, review and finalized board resolutions and board papers
  • To recommend appointment of lawyers for various engagements
  • Day to day legal matters in connection with projects and financing, such as non-disclosure agreement, waiver / requests letter and etc.
  • Any other ad-hoc requirement for legal matter

 

Specific Qualifications Required

  • At least 4 to 5 years PQE
  • Professionally qualified in a common law jurisdiction
  • Experience in cross border transactions / international experience
  • A team player
  • Able to travel

Key Responsibilities

  • Preparing and reviewing Corporate tax/SST/GST/VAT/Witholding tax returns and ensuring compliance
  • Analysis of financial information and collection of information for project team
  • Assisting managers in compliance and providing ad-hoc tax advice
  • Assisting managers in documenting and monitoring intercompany pricing policies for all related party transactions within the Group
  • Liaising with internal fianance/business personnel or external advisors when required
  • To assist with IRB or Customs correspondence when required
  • Other duties, including special projects

 

Specific Qualifications Required

  • Candidiate must possess at least Bachelor's Degree in Finance/Accounting or equivalent 
  • At least 4-5 years of working experience in the related field is required for this position (candidates with experience in accounting firm are encourage to apply)
